NEXT Properties Reshapes Debt Stack in Four-Part Bond Exchange
Mexican real estate trust NEXT Properties announced pricing and results for four separate debt exchange offers, extending deadlines on two tranches with higher consideration.
NEXT Properties (Trust 2401), a trust organized under Mexican law, disclosed pricing terms and preliminary results Thursday for a broad debt restructuring involving four separate private exchange offers targeting senior notes with maturities ranging from 2032 to 2050.
The trust extended the expiration deadline for exchange offers covering its 7.700% Senior Sustainability-Linked Notes due 2032 and its 7.375% Senior Green Notes due 2034, while also raising the consideration offered to holders who tender into those two tranches — a move typically designed to lift participation rates before a final deadline.

Separately, NEXT Properties confirmed it has accepted tenders and closed exchange offers for two longer-dated series: its 6.950% Senior Notes due 2044 and its 6.390% Senior Notes due 2050. Completion of those two tranches signals that a meaningful portion of the trust's long-end debt load has already been repositioned under new terms.
Debt exchange offers allow issuers to swap outstanding bonds for new securities — often with revised coupons, maturities, or covenants — without triggering a default, giving companies a tool to manage liquidity and refinancing risk. The inclusion of sustainability-linked and green-labeled instruments in the NEXT Properties exchange reflects the growing complexity of ESG-tied debt structures in Latin American real estate capital markets.
The exchange offers are private transactions not registered under U.S. securities laws and are available only to eligible holders under applicable exemptions. Continue reading at Real Estate.
